Terms of Use

These Terms of Use are an agreement between you and Vanguard Network, the operator of Vanguard Network ("Vanguard," "we," "us," or "our"). By creating an account, buying a membership, or using Vanguard, you agree to these Terms and acknowledge the Privacy Policy.

You must be at least 18 years old and legally able to enter a contract. You must provide accurate information, protect your login details, and take responsibility for activity under your account. If you do not agree, do not create an account, purchase a membership, or use member features.

Vanguard provides tools for members to find one another, communicate, schedule, and record barter arrangements. Members act independently. Vanguard is not an employer, contractor, agent, broker, partner, insurer, guarantor, or party to any swap.

We do not direct or supervise members, verify every identity or claim, inspect goods or work, set the value of an exchange, or guarantee that a member will appear, perform safely, perform legally, or complete an agreement. A profile, message, booking, payment status, or completed-swap record is not an endorsement.

You are solely responsible for deciding whom to meet and what to exchange; checking identities, experience, references, qualifications, licenses, permits, insurance, tools, goods, locations, and conditions; agreeing on scope, timing, travel, materials, expenses, and what completion means; and complying with laws, taxes, safety rules, property rules, and professional requirements.

Use ordinary caution when meeting someone or entering private property. Do not undertake work you cannot perform safely or lawfully. You are responsible for injuries, losses, damage, claims, taxes, and obligations arising from your own conduct, property, goods, tools, promises, or swaps.

Meeting people and exchanging labor, knowledge, goods, tools, transportation, access to property, or other value can involve risks, including bodily injury, illness, death, theft, fraud, property damage, defective goods, poor workmanship, unsafe conditions, missed appointments, disputes, and financial loss.

To the fullest extent permitted by law, you knowingly and voluntarily accept the ordinary and reasonably foreseeable risks of your interactions and swaps with other members. Nothing in these Terms waives a right or excludes a responsibility that cannot legally be waived or excluded.

You may not use Vanguard to break the law; threaten, harass, discriminate, deceive, exploit, or harm anyone; offer prohibited or dangerous goods or services; infringe rights; impersonate another person; send spam; interfere with the service; scrape member data; bypass access controls; or arrange conduct that requires a license you do not hold.

You retain ownership of content you submit. You give Vanguard a nonexclusive, worldwide, royalty-free license to host, copy, display, format, and transmit that content only as reasonably needed to operate, secure, improve, and promote the service. You represent that you have the rights needed to submit it.

Browsing is free. New members can start a 30-day free trial of swapping features without a card. If you select a subscription in checkout, both membership options include a 30-day trial starting when you complete subscription checkout, before the first membership payment: $5 per month OR $40 per year, not both. Checkout requires a payment method for automatic billing after that trial. Your first billing date is shown by Stripe. Cancel through Manage billing before the trial ends to avoid the first membership payment; otherwise your selected plan is charged and renews automatically until cancelled. Existing paid subscriptions are not restarted or given a new trial by this offer. Google Play testers retain their separately offered extended free access.

Stripe processes your selected Vanguard Network membership payment. Stripe does not add a separate monthly subscription charge for using Vanguard. Any applicable tax is disclosed in checkout. Optional identity verification is a separate, one-time purchase, not a second recurring membership. Cancellation stops future renewal; access continues through the current trial or paid period.

Except where the law requires otherwise, paid membership charges are nonrefundable. Referral rewards are promotional credits, have no cash value, may be corrected for fraud or error, and are governed by the offer displayed when earned. Vanguard may change future pricing or promotions with notice before the change applies.

Membership fees pay for access to Vanguard; they are not payment for a member's work and not a percentage of a swap. Members may separately agree to reasonable out-of-pocket expenses such as materials, fuel, permits, or equipment hire. Those expenses are solely between the members.

TO THE FULLEST EXTENT PERMITTED BY LAW, VANGUARD IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SAFETY, AVAILABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.

We do not warrant that the service, members, listings, messages, schedules, payments, referrals, or swaps will be accurate, safe, lawful, suitable, uninterrupted, secure, or error-free, or that defects will be corrected. Some jurisdictions do not allow certain disclaimers, so some of these exclusions may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, VANGUARD AND ITS OPERATOR, AFFILIATES, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITIES; OR LOSSES ARISING FROM A MEMBER, SWAP, MEETING, ITEM, SERVICE, MESSAGE, BOOKING, PAYMENT, OR THIRD-PARTY CONDUCT, EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO VANGUARD WILL NOT EXCEED THE GREATER OF US$100 OR THE MEMBERSHIP FEES YOU PAID TO VANGUARD DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply to liability that cannot be limited under applicable law, including liability to the extent caused by intentional misconduct or gross negligence where such a limitation is prohibited. Your non-waivable consumer rights remain intact.

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Vanguard, its operator, affiliates, service providers, and representatives from third-party claims, liabilities, damages, judgments, losses, and reasonable legal costs arising from your content, conduct, account, property, goods, services, swaps, violation of law, infringement of rights, or breach of these Terms. This obligation does not require you to indemnify a protected party for that party's own conduct where prohibited by law.

We may investigate reports and restrict, suspend, or terminate access when we reasonably believe it is necessary to protect members, comply with law, enforce these Terms, address nonpayment, or protect the service. You may stop using Vanguard and request account deletion. Provisions that by their nature should survive termination—including risk allocation, liability limits, indemnity, and dispute terms—will survive.

We may change, pause, or discontinue features. We are not responsible for a third-party provider's separate services, terms, outages, or decisions, including payment processing and hosting services.

Before filing a claim against Vanguard, send a written notice describing the issue, requested resolution, and your contact information to vanguardnetworkshq@gmail.com. The parties will try in good faith to resolve the dispute informally for 30 days after receipt.

These Terms are governed by Oklahoma law, without regard to conflict-of-law rules. Unless applicable law requires otherwise, claims must be brought exclusively in the state or federal courts located in Oklahoma, and you consent to their jurisdiction and venue. Nothing here prevents either party from seeking emergency injunctive relief or using an eligible small-claims court.

These Terms, the Privacy Policy, and any terms shown for a specific promotion are the entire agreement about Vanguard. The Swap Rules are practical community guidance; if they conflict with these Terms, these Terms control. If one provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. A failure to enforce a provision is not a waiver. You may not transfer your account or these Terms without our consent.

We may update these Terms. Material changes will be presented for acceptance before continued member-only use. The version date below identifies the terms you accepted.
